Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("User", "you") and PlanetChat, operated by Ryan T Ropah ("PlanetChat", "we", "us"). By accessing or using PlanetChat — including its website, mobile interfaces, video matching, messaging, feed, reels, sounds and any related services (collectively, the "Service") — you accept and agree to be bound by these Terms. If you do not agree, you must not use the Service.

You must be at least thirteen (13) years of age to create an account. Certain features (including but not limited to random video matching, direct messages with strangers, and any content categorised as mature) require you to be at least eighteen (18) years of age. You represent and warrant that the information you provide on registration is true, accurate, current and complete. We may refuse, suspend or terminate any account that we reasonably believe to have been opened by an underage user.

You are solely responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use. We are not liable for any loss or damage arising from your failure to maintain the security of your credentials. Usernames matching reserved patterns (including but not limited to myplanetchat, ryantropah, and administrative/staff/support patterns) are restricted by the platform.

You agree that you will not, directly or indirectly:

• post, transmit or display content that is unlawful, harassing, defamatory, threatening, hateful, sexually explicit involving minors, or that infringes any third-party right;
• impersonate any person, misrepresent your affiliation, or use the Service to defraud;
• upload malicious code, attempt to gain unauthorised access, scrape, reverse-engineer, or otherwise interfere with the integrity of the Service;
• use the Service to send unsolicited commercial communications (spam); or
• circumvent any moderation, blocking, age-gating or rate-limiting mechanism.

Violation of this clause may result in immediate suspension or permanent termination, without refund of any Premium fees paid.

You retain ownership of any content you submit ("User Content"). By submitting User Content you grant PlanetChat a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform, publicly display and distribute such User Content for the purpose of operating, promoting and improving the Service. You represent and warrant that you have all rights necessary to grant the above licence.

When you upload a video, an "original sound" may be created and attributed to your account. PlanetChat operates a discretionary royalty programme crediting your in-app earnings ledger for plays and reuses of your original sounds at rates published in the app. Such credits are not guaranteed, may be revised at any time, and are payable only upon request once the minimum threshold is reached, subject to anti-fraud review. Payouts may be delayed or withheld where abuse is suspected.

PlanetChat offers, or intends to offer, a paid subscription tier ("Premium") providing features such as an ad-free experience, profile badges, increased upload and matching limits, and other benefits as published from time to time. Premium is billed in advance on a recurring basis through our payment processor. Subscriptions renew automatically until cancelled by you. Except where required by law, fees are non-refundable. We reserve the right to modify the price, features and availability of Premium on reasonable notice. Suspension or termination of your account for breach of these Terms will not entitle you to any refund.

PlanetChat operates a voluntary identity-verification programme. Users may upload government-issued identification documents for review. Acceptance into the programme and the award of a verified badge are at our sole discretion. We may revoke verified status at any time for breach of these Terms or for any other reasonable cause. Identification documents are stored in a private, access-restricted location and are processed solely for the purpose of verifying identity, as further described in our Privacy Policy.

You acknowledge and consent that we may employ automated systems — including artificial intelligence, machine-learning models, audio fingerprinting (such as ACRCloud), and pattern detection — to analyse content posted to public surfaces, uploaded media, video matching streams and (where necessary for safety) direct messages, in order to detect prohibited conduct, copyright infringement, and harmful content. Decisions made by automated systems may be reviewed by human moderators. We reserve the right to remove content and suspend or terminate accounts based on such review.

The Service, including its name, logo, design, software and underlying technology, is and shall remain the exclusive property of PlanetChat and its licensors. Nothing in these Terms grants you any right, title or interest in the Service other than the limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANETCHAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PLANETCHAT, ITS OWNER, AFFILIATES, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) US$50.

You agree to indemnify, defend and hold harmless PlanetChat and its owner from and against any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of or in connection with (i) your User Content, (ii) your use or misuse of the Service, or (iii) your breach of these Terms or applicable law.

We may suspend or terminate your access to the Service at any time, with or without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is otherwise harmful to other users, to us or to third parties. You may terminate your account at any time via the in-app account-deletion controls.

We may revise these Terms from time to time. The revised Terms shall take effect upon posting. Your continued use of the Service after such posting constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe, without regard to its conflict-of-laws rules. The courts of Zimbabwe shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service.
